Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Cosoul AI (“Cosoul” or the “Service”), provided by Unlimited Stack Inc. (“Unlimited Stack”, “we”, “us”, or “our”). By creating an account or using Cosoul, you agree to these Terms. If you are using Cosoul on behalf of an organization, you represent that you are authorized to accept these Terms for it.
1. The Service
Cosoul lets you describe the tools your team needs in plain language and builds working tools that live in your workspace, each with an agent inside that can draft, decide, and act. You can refine those tools by comment, share them with your team, and connect them to services you already use. We may add, change, or remove features as the Service evolves.
2. Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to use Cosoul. You agree to provide accurate account information and to keep it current. You are responsible for your account, for the security of your credentials, and for all activity under your account. Notify us promptly at Hello@code.chat if you suspect unauthorized use.
3. Your content and ownership
You retain ownership of the descriptions, prompts, data, comments, and the tools and apps you build with Cosoul (“Your Content”). You grant us a limited, worldwide, royalty-free license to host, store, process, display, and transmit Your Content solely to operate and provide the Service to you and your team.
Your tools and data are yours to keep. You can export them, including as code or JSON, at any time. There is no lock-in.
4. Acceptable use
You agree not to use Cosoul to:
- Break the law or infringe the rights of others, including intellectual property and privacy rights.
- Upload or generate content that is unlawful, harmful, deceptive, or abusive.
- Probe, scan, or breach the security of the Service, or interfere with its normal operation.
- Reverse engineer, decompile, or attempt to extract source code, except where this restriction is prohibited by law.
- Scrape or harvest data from the Service, or resell or sublicense the Service, without our permission.
- Build or operate tools that violate these Terms or the rights of others.
5. AI features and your responsibility
Cosoul relies on AI to generate tools and to power the agents that run inside them. AI output can be inaccurate, incomplete, or unexpected, and it does not constitute professional advice. You are responsible for reviewing output before you rely on it and for ensuring you have the rights to any content you submit. You remain responsible for the tools you build and how you and your team use them.
6. Third-party services
Cosoul lets you connect third-party services and tools. Those services are governed by their own terms and privacy policies, and we are not responsible for them. Your use of a connected service is between you and that provider.
7. Beta and changes to the Service
Cosoul is currently offered in private beta. Beta features are provided on an “as is” basis, may change or be removed, and may be less reliable than generally available features. We may modify, suspend, or discontinue all or part of the Service at any time, and we will give reasonable notice of material changes where practical.
8. Fees and billing
Some features may be free during beta. If we introduce paid plans, we will describe the pricing, billing cycle, and applicable taxes before you are charged, and changes to fees will take effect only after notice. Unless required by law, fees are non-refundable except as expressly stated.
9. Intellectual property
The Service, including its software, design, and brand, is owned by Unlimited Stack and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.
10. Confidentiality
Each party may access non-public information of the other in connection with the Service. Each party agrees to protect the other’s confidential information with reasonable care and to use it only as needed to exercise its rights and meet its obligations under these Terms.
11. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate or fit for your purposes.
12. Limitation of liability
To the fullest extent permitted by law, Unlimited Stack will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars.
13. Indemnification
You agree to defend, indemnify, and hold harmless Unlimited Stack and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or the rights of others.
14. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Before access ends, you may export Your Content. Provisions that by their nature should survive termination will survive.
15. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You and Unlimited Stack agree to first try to resolve any dispute informally by contacting us. Any dispute that is not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and you consent to venue there.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above, and for material changes we will provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
